Prothotd Terms of Service: Legal Agreement, User Rights & Responsibilities

Please read these Terms of Service carefully before accessing or using the prothotd platform. Your access and use constitute agreement to these terms.

1. Acceptance of Terms

Welcome to prothotd ("Platform," "Service," "we," "us," or "our"). By accessing, browsing, registering for, or using the prothotd website, mobile application, or any associated services (collectively, the "Services"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms").

If you do not agree to all of these Terms, you are not authorized to access or use any of the Services. These Terms constitute a legally binding agreement between you and prothotd. Additional terms, guidelines, or rules may be posted on the Service and are incorporated by reference into these Terms.

Important: By using the Services, you represent that you are at least 18 years of age, or the age of majority in your jurisdiction, and are legally competent to enter into a binding contract. If you are using the Services on behalf of an entity, you represent you have the authority to bind that entity.

2. Description of Services

prothotd provides a premium digital platform designed to facilitate private connections and social interactions between consenting adults. Our Services include, but are not limited to:

  • User profile creation and management.
  • Tools for discovering and connecting with other users based on shared interests and preferences.
  • Secure, private messaging and communication features.
  • Access to community features, events, or content (which may be subject to additional terms).
  • Any other features, content, or applications offered from time to time by prothotd.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content, without prior notice or liability.

3. User Responsibilities & Acceptable Use

You are solely responsible for your conduct and all content, data, and information you submit, post, or display on the Services. You agree to use the Services only for lawful purposes and in accordance with these Terms.

You agree NOT to:

  1. Use the Service if you are under 18 years of age or the age of majority in your jurisdiction.
  2. Create a false identity, misrepresent your identity or affiliation, or provide inaccurate profile information.
  3. Harass, bully, threaten, intimidate, or stalk any other user.
  4. Post, upload, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or racially/ethnically objectionable.
  5. Engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.
  6. Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks.
  7. Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
  8. Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
  9. Violate any applicable local, state, national, or international law or regulation.
  10. Solicit personal information from minors or harm minors in any way.

We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing offending content, suspending or terminating the user's account, and reporting them to law enforcement authorities.

4. Intellectual Property Rights

The Service and its original content, features, functionality, design, and compilation are and will remain the exclusive property of prothotd and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks, service marks, and logos (including "prothotd" and the prothotd logo) may not be used in connection with any product or service without the prior written consent of prothotd. All other trademarks not owned by prothotd that appear on the Service are the property of their respective owners.

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant prothotd a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and prothotd's business.

5. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall prothotd, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if prothotd has been advised of the possibility of such damage.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law. Our total cumulative liability to you for all claims arising from or relating to these Terms or your use of the Service shall not exceed the greater of (a) the amount you have paid to prothotd in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) One Hundred U.S. Dollars (USD $100).

6. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. prothotd EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

prothotd MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

No advice or information, whether oral or written, obtained by you from prothotd or through the Service shall create any warranty not expressly stated in these Terms.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Delaware, before one arbitrator. The arbitration shall be administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules. Judgment on the Award may be entered in any court having jurisdiction.

Notwithstanding the above, you agree that we may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop any actual or threatened infringement, misappropriation, or violation of our intellectual property rights.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service. It is your responsibility to review these Terms periodically for changes.
